Terms of Engagement

Agreement

These Terms of Engagement (“Terms”) govern the provision of marketing and consulting services by Data Story Limited (“Data Story”) to its clients. By engaging Data Story, you agree to these Terms.

Services

Data Story will provide the services agreed in your engagement letter or proposal. Any changes to the scope of services must be agreed in writing. We reserve the right to engage subcontractors to assist in the delivery of services.

Fees & Payment

Fees are as set out in your engagement letter. Invoices are issued monthly and are due within 14 days. Data Story reserves the right to suspend services for overdue accounts. All fees are exclusive of GST unless stated otherwise.

Confidentiality

Both parties agree to keep confidential any information received from the other party that is marked as confidential or that a reasonable person would understand to be confidential. This obligation continues for two years after the end of the engagement.

Intellectual Property

All deliverables created by Data Story will become the property of the client upon full payment. Data Story retains the right to use the work in its portfolio and for marketing purposes, unless the client requests otherwise in writing.

Termination

Either party may terminate the engagement with 30 days' written notice. The client is liable for all fees for services performed up to the date of termination. Data Story may terminate immediately if fees are overdue by more than 30 days.

Limitation of Liability

Data Story's liability to the client is limited to the total fees paid in the three months prior to the claim. Data Story is not liable for any indirect, consequential, or punitive damages.

Governing Law

These Terms are governed by the laws of New Zealand. Any disputes will be resolved in the courts of New Zealand.
